California Micro Devices showcased its innovative LuxGuard family of turnkey solutions for ESD (electrostatic discharge) protection and thermal management for high power, high brightness LED lighting applications at the Strategies in Light Conference and Exhibition 2010 at the Santa Clara Convention Center in Santa Clara, California, on February 10th through 12th.

ON Semiconductor today announced the successful completion of its tender offer for California Micro Devices Corporation (Nasdaq: CAMD), which expired January 26, 2010 at 12:00 midnight, New York City time. The 21,257,315 tendered shares represent approximately 90.5 percent of outstanding California Micro Devices Corporation shares. An additional 339,156 shares were tendered by notice of guaranteed delivery. ON Semiconductor has accepted for payment the shares validly tendered and not withdrawn. As a result of the valid tenders and acceptance of payment, ON Semiconductor will own more than 90 percent of outstanding California Micro Devices Corporation shares and expects to promptly complete the acquisition of California Micro Devices Corporation in accordance with applicable provisions of Delaware law that authorize the completion of the merger as a short form merger without a vote or meeting of the stockholders of California Micro Devices Corporation.
California Micro Devices today announced the latest products in the LuxGuard™ family of turnkey solutions for ESD (electrostatic discharge) protection and thermal management for high power, high brightness light emitting diode (HBLED) lighting applications. The new LuxGuard CM1753 and CM1754 feature a 50 volt breakdown voltage specification and deliver a robust 8kV HBM (Human Body Model) of ESD protection with low input capacitance for high power, high efficacy HBLED lighting applications. Designed as silicon based side mount ESD protectors, the CM1753 is designed for P-up common cathode configurations and CM1754 provides identical protection for N-up common anode configurations. Their tiny form factor enables them to be used in all applications, including existing HBLED lamp modules with the number of LEDs in the string ranging from 1 to 15.
California Micro Devices announced the CM1242-33CP, first in a family of extremely small outline ESD (electrostatic discharge) protection devices. Establishing new industry benchmarks for ESD performance and small solution form factor, the CM1242 is an ideal solution for space constrained applications in multimedia smart phones, netbooks and MIDs (mobile internet devices), e-book readers and personal media players. The device provides a single channel of bi-directional ±30kV contact ESD protection in a very compact outline (0.6 mm x 0.3mm).
ON Semiconductor and California Micro Devices today announced the signing of a definitive merger agreement pursuant to which ON Semiconductor will acquire California Micro Devices (CMD) through a cash tender offer of $4.70 per share. With net cash, cash equivalents and short-term investments of approximately $45 million at the end of November 2009, the transaction value of CMD represents an enterprise value of approximately $63 million and an equity value of approximately $108 million, based on common stock outstanding and issued. The proposed transaction and related merger agreement have been approved by each company's board of directors.
