Ramtron Board Unanimously Concludes Cypress’ Revised Unsolicited Tender Offer is Inadequate

Ramtron International today announced that its Board of Directors has carefully reviewed the revised unsolicited tender offer from Cypress Semiconductor to acquire all outstanding stock of Ramtron at a price of $2.88 per share in cash, in consultation with its financial and legal advisors, and unanimously concluded that the revised offer is inadequate, does not reflect the intrinsic value of the Company, and is not in the best interest of Ramtron and its stockholders.

Ramtron Samples 64-Kilobit Serial F-RAM Memory

Ramtron announced broad sampling of its newest ferroelectric random access memory (F-RAM) product built on the company’s manufacturing line at IBM Corporation. The FM24C64C is a 64-Kilobit (Kb), 5-volt serial F-RAM device that performs at bus speed without write delays, and supports up to one-trillion (1e12) read/write cycles – a million times more than a comparable EEPROM device. The FM24C64C offers low power operation with 100 µA active current (at 100 kHz) and only 4 µA typical standby current. This F-RAM device is a direct hardware replacement for 64-Kb EEPROM and is ideal for nonvolatile memory applications that require frequent or rapid writes.

Ramtron Ships First F-RAM Samples Built on New IBM Manufacturing Line

Ramtron International announced broad sampling of the first pre-qualification ferroelectric random access memory (F-RAM) devices built on the company's new manufacturing line at IBM Corporation (NYSE: IBM). The FM24C04C and FM24C16C are serial 5-volt devices with 4- and 16-kilobits of F-RAM memory, respectively. The devices offer a high-performance nonvolatile data collection and storage solution for electronic systems. Ramtron’s F-RAM products provide nonvolatile RAM memory performance with NoDelay™ writes, high read/write endurance, and low power consumption.

Ramtron Announces Wide Voltage Serial and Parallel F-RAM
Ramtron International Corporation today announced its W-Family of F-RAM memory. Devices in the W-Family, available in serial I2C, SPI and parallel interfaces, offer wider operating voltage range from 2.7V to 5.5V. Additionally, the W-Family offers performance enhancements including a 25% to 50% reduction in active current requirements and serial devices with up to 20 times faster First Access Start (power up initialization). The FM24W256 and FM25W256 W-Family memories are available in 256-Kbit serial I2C and SPI interfaces, respectfully. A parallel communication interface is available in the 64-Kbit FM16W08 and 256-Kbit FM18W08 devices.

Ramtron CEO Resigns, Ramtron Board of Directors Names Eric A. Balzer to Lead Company as CEO

U.S. semiconductor maker Ramtron International Corporation today announced that effective January 24, 2011, Ramtron’s Board of Directors has accepted the resignation of Ramtron CEO, Bill Staunton. Eric A. Balzer, Ramtron’s current CFO and a member of the company’s board, has been named CEO. Mr. Balzer will retain the title and responsibilities of CFO until a replacement is named. The Board has initiated a search for a new chief financial officer.

Ramtron International added two new serial F-RAM devices to its V-Family product line that meet stringent AEC-Q100 Grade 3 automotive qualification standards. The FM24V01-G and FM25V01-G are 128-kilobit (Kb) high-performance nonvolatile F-RAM memories that operate over a wide operating voltage range of 2.0 to 3.6-volts. The rigorous automotive-grade qualification—established by the Automotive Electronic Council’s Stress Test Qualification for Integrated Circuits—serves the demanding requirements of the automotive market, ensuring reliable device operation over the automotive temperature range of -40°C to +85°C.

Ramtron Reports 2Q2010 Financial Results

U.S. semiconductor maker Ramtron International Corporation (Nasdaq: RMTR), a leading developer and supplier of ferroelectric-based low-power memory and integrated semiconductor products, today reported that total revenue grew 66% to $18.3 million for the second quarter of 2010, compared with $11.0 million for the same quarter last year. Net income for the second quarter of 2010 was $357,000, or $0.01 per share, compared with a net loss of $302,000, or $(0.01) per share, for the second quarter of 2009. Second-quarter 2010 results included stock-based compensation expense of $409,000, and an income tax provision of $210,000. Product gross margin for the second quarter of 2010 was 49%, compared with 47% for the second quarter of 2009.

Ramtron Serial 1-Mbit F-RAM Upgraded to Automotive Qualification
Ramtron announced that its FM25V10-G – a 1-Megabit (Mb), 2.0-3.6V serial F-RAM memory device – has been qualified to AEC-Q100 Grade 3 standards. This rigorous automotive-grade qualification, established by the Automotive Electronic Council’s Stress Test Qualification for Integrated Circuits, expands Ramtron’s portfolio of AEC-Q100 compliant memory to 15 devices, which are designed to meet the demanding requirements of the automotive market. The Grade-3 qualification ensures device operation over the automotive temperature range of -40 to +85 degrees Celsius.
